The Counsel job works to support the protecting of an organization's rights, obligations and privileges and its legal interests by drafting legal advice and by ensuring the legal activities meet the current and future needs of the organization. This job provides support in legal advice and counsel in business-related areas of expertise, such as corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, and ethics.



Key Responsibilities and Duties

  • Provides support in hands-on legal advice, guidance and counsel to management and supports the operations of legal department.

  • Assists with the protecting of the organization's rights in contract negotiations, settlements, and litigation.

  • Structures and drafts legal contracts, letters of agreement, policies and other documents related to a variety of trade, commercial, financial, and operational matters.

  • Identifies, evaluates, and addresses issues of legal risk in areas such as, but not limited to, corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, and ethics.

  • Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations.

  • Advises management on recent changes in laws and regulations that affect the company.

  • Liaises with external legal counsel on legal issues related to protecting the company and gaining external advice on matters that may impact the company.

  • 3+ years exp working for a small to mid-sized law firm, or in-house investment or financial institution, supporting an alternatives platform with preference for timber or agricultural experience

Preferred Experience:

  • 5+ years exp working for a small to mid-sized law firm, or in-house investment or financial institution, supporting an alternatives platform with preference for timber or agricultural experience

  • Experience with entity management and formation

  • Experience working with fund structure

  • Knowledge of SEC and securities regulations

Additional Responsibilities:

Legal Management (primarily Timber, but may focus on agriculture as well)

  • Responsible for minimizing exposure to legal risk across the US business and providing advice to the Asset Management Teams to assist them on a day-to-day basis.

  • Responsible for establishing, engaging, and maintaining relationships with external counsel. Assist in sourcing and recommending a list of appropriately qualified legal firms for transactional and corporate legal advice. May work closely with US business in this regard.

  • Review and help coordinate legal documentation and due diligence in relation to lease agreements, management agreements, easements, solar/wind agreements, acquisitions, dispositions, third party agreements, lending agreements, ancillary property agreements.

  • Review and help coordinate lending agreements and internal intercompany agreements

  • Responsible for understanding all fund and account structures in order to provide proper guidance to the US business in this regard

  • Responsible for ensuring all legislation changes that impact the US business are researched and considered when providing legal advice. May also work with the government relations team in this regard.

  • Provide support and advice around any dispute that may arise and ensuring they are managed accordingly to resolution including obtaining advice from external counsel where necessary. May work with external insurance broker to help resolve claims or insured matters that arise.

  • here applicable, work with the US business on the required applications and approvals with Federal, State and local regulatory bodies, if applicable (ex – FSA, USDA).

  • Support legal aspects of developing ESG reporting and contracts and provide local support on legal matters related to sustainability.

  • Engage with global legal team for coaching, best practice sharing and alignment of legal goals.

  • Ensuring all internal legal precedents are maintained, reviewed and updated on a regular basis.

Fund Management

  • ​As part of growth efforts, may be involved in supporting the launch of any new Nuveen Natural Capital product in the United States and the ongoing maintenance of fund structures, providing guidance on compliance with fund terms and restrictions, engaging external counsel as required.

Corporate Governance

  • Provide secretarial support and fund boards. Ensure internal approval documentation is recorded and adhered to.

  • Review and update corporate documentation, resolutions, and consents

  • Provide ad-hoc support with preparation and review of certain documents and other corporate governance matters and help to coordinate signatures as required, as well as oversight to ensure required internal approvals are obtained.

Compliance

  • Support and assist compliance, finance, legal and risk team members to ensure maintenance of compliance-related obligations and audits.

  • Support the review and communication of policies required by law, compliance, and/or the business
